They aren't exercisable until the deal is done. When the deal gets done you can exercise them at anytime. I think they can force you exercise them if the stock is above...

More like 13.5%. Per the doc, LIBOR shall not be considered less than 3.5%. So, at least for this loan doc, LIBOR cannot go below 3.5%....and the spread is 10% -- added up its 13.5%.Seems like a crazy...
